1. Acceptance of Terms

By accessing and using the website, AI Agents, and services of Yield-AI Ltd ("we," "our," or "us"), you agree to be bound by these Terms and Conditions. If you do not agree, please do not use our services.

2. Client Obligations and Implementation

To enable Yield-AI Ltd to successfully build, deploy, or integrate AI Agents for your business, you agree to provide access to the necessary software stacks, environments, databases, or APIs in a timely manner. It is your strict responsibility to ensure that correct permissions, credentials, and network accesses are granted. Yield-AI Ltd shall not be held liable for any project delays, deployment failures, or performance issues resulting from your failure to provide adequate, timely access or correct permissions.

3. Use of Services

You agree to use our website and services only for lawful purposes. You must not:

  • Use the services in any way that violates applicable local, national, or international law.

  • Attempt to reverse engineer, decompile, or disrupt any of our software or AI models.

  • Submit any sensitive personal information, copyrighted material without permission, or malicious code into our systems.

4. Intellectual Property

4.1. Our Technology and Services:

Yield-AI Ltd and its licensors exclusively own all rights, title, and interest in and to the website, services, and the underlying AI Agents. This includes, but is not limited to, the software, algorithms, machine learning models, system prompts, agent configurations, user interfaces, logos, and trademarks (collectively, "Our IP"). Your paid subscription grants you a limited, non-exclusive, non-transferable, and revocable license to access and use Our IP solely for your internal or personal business purposes during your active subscription term. You may not reverse engineer, copy, or extract the underlying models or system prompts of our AI Agents.

4.2. Your Content (Inputs):

You retain all ownership rights to any text, files, data, or other materials you submit, upload, or input into our services ("Input"). You grant Yield-AI Ltd a limited, worldwide, non-exclusive license to host, copy, process, and display your Input strictly as necessary to operate the AI Agents and provide the services to you.

4.3. Generated Content (Outputs):

When you use our AI Agents, the service generates responses, text, or other materials based on your Input ("Output"). To the extent permitted by applicable UK law, Yield-AI Ltd assigns to you all its right, title, and interest in and to the Output. You may use the Output for any lawful commercial or non-commercial purpose.

4.4. Similarity of Outputs:

Due to the nature of artificial intelligence and machine learning, Outputs may not be unique across all users. The AI Agents may generate the same or similar Output for Yield-AI Ltd or a third party. Responses that are requested by and generated for other users are not considered your Output, and you cannot claim copyright infringement over similar Outputs generated for other users.

4.5. Training Data:

We do not use your proprietary Inputs or Outputs to train, retrain, or improve our foundational AI models or Agents across other accounts. Your data remains siloed and confidential to your organization.

5. Payments, Subscriptions, and Cancellations

5.1. Subscription Fees:

Access to certain features and AI Agents provided by Yield-AI Ltd requires a paid subscription. By selecting a subscription plan, you agree to pay Yield-AI Ltd the applicable fees and any associated taxes (including VAT, if applicable) in advance, based on the billing cycle you choose.

5.2. Billing and Auto-Renewal:

To ensure uninterrupted service, your subscription will automatically renew at the end of each billing cycle unless you cancel it before the renewal date. You authorize Yield-AI Ltd and our third-party payment processors to charge your payment method on file for the renewal term.

5.3. Cancellations:

You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation, your subscription will not renew, but you will retain access to the paid AI Agents until the end of your current paid billing cycle.

5.4. Refund Policy:

Except as required by your statutory rights under UK law, all fees paid to Yield-AI Ltd are non-refundable. We do not provide refunds or credits for partial subscription periods, unused time, or dissatisfaction with the AI-generated outputs.

5.5. Price Changes:

Yield-AI Ltd reserves the right to modify our subscription prices or introduce new fees at any time. We will provide you with reasonable advance notice of any price changes.

6. Proof of Concept (PoC) and Beta Features

Yield-AI Ltd may occasionally engage in a Proof of Concept (PoC) agreement or offer access to beta AI Agents to demonstrate our capabilities within your environment. We reserve the right to define the scope, modify, cancel, or limit these PoC arrangements at our sole discretion. Upon the successful conclusion of a PoC period, continued use and deployment of the custom AI Agents will require executing a formal paid subscription or service agreement.

7. Limitation of Liability

Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation. Subject to this, to the maximum extent permitted by UK law, Yield-AI Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, or business interruption) resulting from your use of or inability to use our services. Our services, including any AI-generated content, are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind.

8. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of these Terms.


PART B: PRIVACY POLICY

1. Introduction

Yield-AI Ltd respects your privacy and is committed to protecting your personal and corporate data in compliance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. This Privacy Policy explains how we collect, use, and safeguard your information when you visit our website or use our AI Agents. Yield-AI Ltd acts as the Data Controller for information collected through our website, and as a Data Processor for the data you input into our AI Agents.

2. Information We Collect

  • Personal Data: We may collect your name, email address, and contact details when you voluntarily provide them.

  • Usage Data: We automatically collect certain information when you visit, such as your IP address, browser type, and interactions with our platform.

  • Service Inputs & Integrations: We collect the text, prompts, documents, or data payloads you input into our AI Agents, as well as necessary metadata retrieved from the software stacks and APIs you permit us to access during deployment.

3. How We Use Your Information (Legal Basis for Processing)

Under the UK GDPR, we process your data based on legitimate interests, contract fulfillment, or your consent, to:

  • Provide, maintain, deploy, and improve our AI Agents and services.

  • Facilitate the setup of Proof of Concepts (PoCs) and manage your software integrations.

  • Process your subscription payments.

  • Communicate with you regarding technical support, updates, and inquiries.

4. Data Sharing and Disclosure

We do not sell your personal or corporate data. We may share your information with trusted third-party service providers (such as cloud hosting partners, LLM providers, or payment processors) strictly to assist us in operating our services. These third parties act as Data Processors and are bound by strict Data Processing Agreements (DPAs). We may also disclose data if legally required to do so by UK authorities.

5. Data Security and International Transfers

We implement rigorous, industry-standard security measures to protect your information and API credentials. If we transfer your data outside of the UK, we ensure a similar degree of protection is afforded to it by ensuring at least one of the legal safeguards recognized by the UK ICO is implemented (e.g., International Data Transfer Agreements).

6. Your Data Protection Rights

Under the UK GDPR, you have the following rights regarding your personal data:

  • The right to access: You can request copies of your personal data.

  • The right to rectification: You can request that we correct any information you believe is inaccurate or incomplete.
